Definitions
These Terms and Conditions apply to all materials licensed for use by Micron Video International Limited (MVI) under the trading name Micron Training. Such content material, defined as Programs, include: Training, education and information programs; Books and manuals; Computer software. Programs may be contained on media which includes: Video cassettes, DVD or Compact Discs, Hard-copy printed materials.
Payment Terms
MVI does not undertake credit transactions and it is a condition of sale that payment must be received prior to shipment of goods by: Credit card at this website, subject to all resonable security checks (3D secure and CSC) or Cheque and Bank transfer by arrangement with MVI. All charges including handling and shipping and applicable taxes will be shown before payment transaction. A receipted invoice will be sent by post or with goods as appropriate.
Shipment of Goods
Shipment of goods will normally be between 1 to 2 working days with transit times between 2 - 5 days depending on destination. Large orders may take longer to process. At customer request MVI will estimate delivery times but cannot guarantee arrival dates. A handling and shipment charge will be applied to each order and will be displayed in full before payment transaction. Shipment will be made via DHL courier or equivalent service to full postal addresses (not PO Boxes). Contact Micron Training for help and information regarding any shipping matters.
Returns / Refunds
To return an item it must be unopened and with the license and adhesive seal intact within 1 month of original delivery. We will not refund our handling and shipping fees or any shipping fees that you incur returning the item(s). Faulty or damaged items will be replaced at no cost to the customer.
Suitability
It is the purchasers exclusive responsibility to ensure that the Program is suitable for its needs and the entire risk as to its performance and as to results obtained from its use is assumed by the purchaser. The purchaser is deemed to acknowledge that the content and accuracy of documents produced by the Program are its sole responsibility and, whether or not produced using the software, that it also remains responsible for ensuring that any information, opinions, recommendations, forecasts or other comments submitted to third parties are accurate and complete.
Disclaimer and Limitation of Liability
The purchaser is deemed to acknowledge that the allocation of risk in this Agreement reflects the amount paid for the program by the purchaser and that it is not within MVI's control as to how, and for what purposes, the Program is used by the purchaser. In no event, therefore, will MVI be liable for any direct, consequential, incidental or special damage or loss of any kind (including, but not confined to, loss of profits, loss of contracts, business interruptions, loss of or corruption to data) however caused and whether arising under contract or tort, including negligence or otherwise. If any exclusion, disclaimer or other provision contained in the License enclosed with the Program or in these Terms and Conditions is held to be invalid for any reason by a court of competent jurisdiction and MVI becomes liable thereby for loss or damage that could otherwise be limited, such liability whether in contract, tort or otherwise, will not exceed the amount actually paid by the purchaser for the software.
General Terms Conditions
Any reseller, distributor or dealer (including any MVI approved dealer or representative) from whom the Program may have been purchased is expressly not appointed or authorized by MVI as its servant or agent. No such person has any authority, either express or implied, to enter into any contract or provide any representation, warranty or guarantee with or to the purchaser on behalf of MVI or otherwise to bind MVI in any way whatsoever. MVI does not authorize any changes to its programs and will not be responsible for any modifications or mergers made to the Program by such persons. MVI shall not be liable to the purchaser in respect of circumstances outside its reasonable control. Failure by MVI to enforce any particular term of the License or these Terms and Conditions shall not be construed as a waiver of any of its rights under it. If any part of the License or these Terms and Conditions is held by a court of competent jurisdiction to be unenforceable for any reason whatsoever, the validity of the remainder terms will not be affected. The License and Terms and Conditions constitute the entire agreement between the parties in relation to the Program and its licensing and supersedes any other oral or written communications, agreements or representations with respect to the Program.
Jurisdiction
For programs supplied by Micron Video International Ltd, of 9 King George Rd, Fareham PO16 9RL, England to customers in all countries, the terms and conditions of this License will be governed and construed in accordance with English law, and any dispute arising under this Agreement or in connection with the Program shall be submitted to the exclusive jurisdiction of the English Courts, save where MVI otherwise agrees. No variation, amendment of or addition to this License shall be effective unless MVI's prior agreement in writing shall have been obtained.
